Chapter 8 - ELENA REFUSED TO LET BLACKWOOD BUY THE COMPANY THAT ONCE NEEDED HER TO SURVIVE

Coffee became occasional.

Every two months.

Sometimes New York.

Sometimes Boston.

Once London, by accident of overlapping travel.

No kissing.

No secret romance.

No business favors.

That last rule became important when Grayson Dynamics faced another strategic decision.

Five years after divorce, Stonebridge facility approached refinancing.

This time Grayson was healthier.

Debt down forty percent.

Revenue higher.

Stock recovered beyond old highs.

Priya remained CEO.

Nathan executive chairman.

Founder super-vote had sunset.

He owned thirty-four percent economic interest after dilution and sales.

Influential.

Not controlling.

The refinancing attracted several lenders.

Including Halcyon.

Blackwood-controlled.

Priya walked into Nathan’s office.

“Halcyon is cheapest.”

Nathan stared.

“By how much?”

“Forty basis points.”

“Meaning?”

“About six million annually.”

“Material.”

“Yes.”

“Who approves?”

“Independent Blackwood credit committee.”

“Elena?”

“Recused.”

Nathan looked at proposal.

Five years earlier, he would have demanded different lender to prove independence.

Now that could be another form of ego.

“Take best market deal.”

Priya raised eyebrow.

“Even Blackwood?”

“If terms clean.”

“Good.”

He smiled.

“You wanted test.”

“I did.”

Meanwhile, Julian Blackwood revived acquisition idea.

This time more aggressive.

Grayson’s logistics patents had become valuable to Blackwood port modernization.

He proposed $21 billion takeover.

Premium.

Excellent for shareholders.

Potentially transformative.

Independent committee wanted to approach Grayson board.

Elena recused.

Again.

Julian became furious.

“You cannot recuse forever.”

“I can when former husband owns one-third.”

“You’re controlling beneficiary.”

“Exactly.”

“Your job is make decisions.”

“My job is also know when I should not.”

Warren, mostly recovered, watched from end table.

Julian continued:

“You still protect him.”

Elena’s eyes hardened.

“No.”

“I protect governance from me.”

The committee proceeded without her.

Approached Grayson.

Priya brought offer to board.

Nathan saw Blackwood name.

Old emotions.

Not fear.

Not rage.

Something almost amused.

“Of course.”

Evelyn Strauss, still board chair, asked:

“Do we consider?”

“Yes.”

Nathan answered.

Everyone looked surprised.

“Why?”

“Because shareholders deserve.”

Good.

They evaluated.

Offer rich.

But breakup risks.

Integration risks.

Blackwood could probably create more value.

Nathan would lose company identity.

Employees uncertain.

Board deliberated.

Nathan recused from final vote due emotional founder conflict? Perhaps he remained but declared. Priya led.

Then Blackwood committee increased bid.

$23.4 billion.

Market exploded.

Reporters immediately tied Elena.

EX-WIFE MOVES ON EX-HUSBAND’S EMPIRE

Elena hated headline.

At Blackwood press room, communications team suggested statement:

“This is independent strategic process.”

She agreed.

Then reporters asked:

“Would Elena Blackwood become controlling owner of former husband’s company?”

Technically through family trust yes.

She refused personal comment.

Nathan was asked:

“Is this revenge?”

He stared at reporter.

“No.”

“How do you know?”

“Because I know Elena.”

Then stopped.

Maybe too personal.

He corrected:

“Because the proposal came through independent committee and Grayson board will evaluate on economics.”

Good.

Privately, Nathan texted Elena:

This is objectively hilarious.

She stared.

Then replied:

I hate you.

Nathan:

That sounds like conflict. Please recuse.

Elena laughed out loud inside council room.

Julian stared.

“What?”

“Nothing.”

This was dangerous.

Not acquisition.

Ease.

She put phone away.

Grayson ultimately rejected $23.4 billion.

Not because Nathan.

Board concluded long-term standalone value higher.

Shareholders complained.

Then company announced strategic licensing partnership instead.

Blackwood Infrastructure paid $1.1 billion over ten years for technology access.

No acquisition.

Win-win.

Elena recused.

Nathan had no role in Blackwood side.

Clean.

After deal closed, they met for dinner for first time.

Not coffee.

Elena suggested.

Nathan noticed.

Did not comment.

Restaurant quiet.

She asked:

“Would you have sold?”

“Five years ago?”

“No.”

“Now?”

Nathan thought.

“If board said yes, I would have.”

Elena smiled.

“That is growth.”

“Painful growth.”

“And you?”

“What?”

“If committee had bought us, would you have hated it?”

“Yes.”

“Why?”

“Because I don’t want to own your company.”

Nathan’s eyes narrowed.

“Emotionally?”

“Yes.”

“That’s honest.”

“I spent too many years making sure it survived.”

“I don’t want responsibility for whether it deserves to.”

He nodded.

“Fair.”

Dessert arrived.

Neither ate much.

Then Nathan said:

“I have something.”

Elena tensed.

“Not jewelry.”

“God, no.”

He handed envelope.

Inside:

Copies of unsent letters.

Not all.

Three.

Elena looked.

“You wrote these?”

“Yes.”

“Why give?”

“Because they belong to period between us.”

“You don’t have to read.”

She opened first.

Priya canceled one of my product initiatives. I survived.

Elena laughed.

Second:

I learned Halcyon made hundreds of millions from Grayson. Apparently your family support was not charity. It helped me stop thinking my company was fake.

Her eyes filled.

Third:

I am sorry you had to become less visible for me to feel large.

Elena stopped.

Nathan looked down.

“I never sent because apology shouldn’t become campaign.”

She folded letter.

“Thank you.”

Then:

“Can I ask something dangerous?”

“Yes.”

“Are you dating anyone?”

Nathan’s heart stopped.

“No.”

“You?”

“No.”

Silence.

He did not rush.

Good.

Elena continued:

“I don’t know what this is.”

“Neither do I.”

“I’m not ready to call it anything.”

“Okay.”

“Stop being so improved.”

He laughed.

“I’m still difficult.”

“Good.”

Then she reached across table.

Not to hold his hand fully.

Just fingertips.

Brief.

Nathan froze.

Elena withdrew.

No kiss that night.

But when Nathan walked home, he understood something.

Their first marriage had begun when both hid different forms of fear.

His fear of insignificance.
