Chapter 5 - LORENZO CARUSO TRIED TO USE MICHAEL’S GUILT TO TAKE BACK THE SETTLEMENT, BUT VINCENT REFUSED TO LET THE COMPANY LIE AGAIN

Lorenzo’s legal theory was elegant.
That made Olivia nervous.
He did not argue Michael deserved nothing.
He argued settlement had been negotiated under incomplete disclosure.
Michael represented known historical misconduct.
He had not disclosed South River ledger.
That ledger contained evidence of additional criminal proceeds and involvement in Thomas Calder’s disappearance.
Therefore valuation assumptions and equities of settlement were compromised.
Therefore Caruso Maritime should reopen.
On paper, plausible.
Emotionally, Lorenzo wanted money back.
Vincent called him parasite.
Rachel told Vincent never use that word in deposition.
He used worse privately.
Olivia asked Vincent:
“Did Michael’s hidden crime change your view?”
“Yes.”
That surprised.
“How?”
“I am angrier.”
“At him?”
“Yes.”
“Do you still support settlement?”
“Yes.”
“Why?”

“Michael doing wrong thing does not make Salvatore’s wrong thing disappear.”
Olivia stared.
“Separate lanes.”
Vincent grimaced.
“Rachel has infected everyone.”

Olivia read twice.

Rachel said:

“Board committee controls.”
“So he is freelancing.”

They preserved.
Olivia did not respond.
Then Lorenzo approached her after public logistics conference.
No threats.

Public hotel lobby.

Lorenzo looked surprised by admissions.
Olivia continued:
“I don’t need him innocent.”

She walked away.
He said behind:
“You think Vincent will protect you?”
Olivia stopped.
“I do not need Vincent to protect me.”
Lorenzo laughed.
“Everyone does eventually.”
There was old Caruso worldview.
Protection as control.
She turned.
“That may be your family’s disease.”
Then left.
Two days later independent committee found Lorenzo had breached governance by contacting claimant directly while recused from reserve matter.
He was formally censured.
Still board.
Process.
Then financial pressure increased.
LRC Holdings collateral deficiency confirmed.
Twelve-point-four million.
Lorenzo asked waiver.
Independent credit committee denied pending review.
He accused Vincent retaliation.

Lorenzo needed cash.

“Mom decides.”
Michael’s eyes filled.
“I don’t know how to stay when everyone hates me.”
Olivia’s voice softened.
“You stay anyway.”
There.
The lesson.
Not brave escape.
Embarrassing conversation.
Michael unpacked.
Next morning he issued statement through counsel.
No self-pity.
I provided information to Salvatore Caruso concerning Thomas Calder’s contact with federal authorities and accepted payment. I cannot say whether my actions caused Mr. Calder’s disappearance. I have provided all surviving records to investigators and will cooperate fully. I am sorry to the Calder family and will not use my own fear or later victimization to excuse what I did.
The statement hurt him.
It also prevented others controlling narrative.
Andrew Calder issued no forgiveness.
Only:
My family wants facts.
Fair.
Caruso share price in public affiliate dipped.
Lenders asked.
Company disclosed historical issue had no known current operational impact.
Governance.
No collapse.
Lorenzo went on television? Better not, but leaks to press. He gave statement saying board must “protect shareholders from sentiment-driven settlements.”
Vincent wanted respond.
Counsel stopped.
Olivia called.
“Do nothing.”
“I hate that sentence.”
“Good.”
“You hired governance.”
“Now use.”
He growled.
But complied.
Independent committee concluded three months later:
Michael’s concealment was material but did not invalidate finding that original transfer of forty-percent interest had been inauthentic and wrongfully recorded.
Settlement remained enforceable.
However, reserve-ledger issues were excluded and subject separate review.
Victory?
Partial.
Michael kept settlement.
Olivia trust intact.
South River consequences separate.
Lorenzo lost main argument.
He exploded in board session.
“This company is paying criminals twice!”
Vincent answered:
“This company was built by criminals.”
Silence.
Then:
“Our job is not to rewrite that because it embarrasses us.”
That line leaked.
Public response mixed.
Some praised.
Some criticized.
Olivia thought it was honest.
After meeting, Vincent sat alone.
She found.
“You okay?”
“No.”
“Good.”
He looked.
“That is your mother’s answer.”
“Yes.”
He stared river.
“My father would hate what company became.”
“Legitimate?”
“Accountable.”
Olivia smiled.
“He probably would.”
Vincent laughed once.
Then:
“Lorenzo is not finished.”
“How know?”
“Because I know him.”
“He needs money.”
“He needs control.”
“And he thinks I’m weak because I let board constrain me.”
Olivia looked.
“Are you?”
Vincent smiled without humor.
“No.”
“Then prove it without becoming your father.”
That silenced.
The next stage would test exactly that.
Because Lorenzo had failed in court.
So he moved to shareholders.
